By engaging the services of Finivex Technologies ("UnifyBricks", "we", "us", or "our"), accessing our website at unifybricks.com, or entering into a service agreement with us, you ("Client", "you") agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services.
UnifyBricks provides AI product strategy consulting, AI-native software development, and transformation advisory services to mid-market enterprises. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement executed between the parties. These Terms & Conditions govern all such engagements unless explicitly superseded by a signed agreement.
Upon full payment of all fees, UnifyBricks assigns to the Client all rights, title, and interest in custom deliverables created specifically for the Client under a project engagement. UnifyBricks retains ownership of all pre-existing intellectual property, frameworks, methodologies, tools, and general knowledge developed independently of the Client engagement. UnifyBricks may use anonymized, non-identifiable information about the engagement for case studies, marketing, and internal improvement purposes unless the Client requests otherwise in writing.
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. UnifyBricks will not disclose Client's confidential business information to third parties without prior written consent. This obligation survives the termination of the engagement for a period of three (3) years. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Fees are as specified in the applicable SOW or invoice. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may incur interest at 1.5% per month. UnifyBricks reserves the right to suspend services for accounts more than 30 days overdue. All fees are exclusive of applicable taxes, which are the Client's responsibility.
To the maximum extent permitted by applicable law, UnifyBricks's total liability for any claim arising out of or related to these Terms or any engagement shall not exceed the total fees paid by the Client in the three (3) months preceding the claim. UnifyBricks shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
UnifyBricks warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, services are provided "as is" without warranty of any kind. UnifyBricks does not guarantee specific business outcomes, revenue results, or AI model performance beyond what is specified in the SOW.
Either party may terminate an engagement with 30 days' written notice. Immediate termination may occur if either party materially breaches these Terms and fails to cure the breach within 10 business days of written notice. Upon termination, the Client shall pay for all work completed up to the termination date. Provisions relating to intellectual property, confidentiality, payment, and limitation of liability survive termination.
These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Finivex Technologies is registered, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation, followed by binding arbitration if necessary.
UnifyBricks reserves the right to update these Terms & Conditions at any time. Material changes will be communicated via email or posted on our website. Continued use of our services after such changes constitutes acceptance of the updated terms.
